What documents do I receive?

UKcorporator will automatically generate, and electronically deliver, all of the legally required documents for incorporation of the proposed company, and all other documents which are legally required immediately following the incorporation of the company. (The documents will be duly filled out and need only to be signed, witnessed in some cases, dated and in the case of certain of them, lodged at Companies House.)
The documents are as follows:
- First directors and secretary and intended situation of registered office (Form 10)
- Declaration on application for registration (Form 12)
- Memorandum of association
- Articles of association*
- Register of members
- Register of directors and secretaries
- Register of directors' interests
- Register of charges
- Share certificate/s (companies limited by shares only)
- Declaration/s of trust (where requested)
- Declaration on application for registration of a company seeking exemption from the requirement to use the word 'limited' or 'cyfyngedig' (Form 30(5)(a)) (companies limited by guarantee only and only where the exemption is sought)
In addition, you will receive the following document direct from Companies House:
- Certificate of Incorporation
Other documents are available free of charge via the Resources section of the website (e.g. Table A 'regulations for management of a company limited by shares', specimen minutes of first meeting of directors and application by a public company for a certificate to commence business - Form 117).
You will also receive print-outs containing clear and concise instructions about what you should do with the documents e.g. which to sign and where to sign, which to send off to Companies House and which to retain etc.
Please note that in programming UKcorporator, the determination as to which documents are legally required and which are not, was made (and continues to be reviewed) by experienced former practising solicitors (see FAQ Who wrote UKcorporator?) based on the UK companies legislation as it currently stands. These solicitors have not included documents simply on the basis that various company formation agents continue to provide them.
*In the case of public companies only, UKcorporator does not currently provide articles of association but rather allows users to rely on Table A, or alternatively, provide their own articles of association. This does not affect the vast majority of users however, who will wish to form a private company, in most cases, limited by shares. |
